    • All Completed, Ongoing and Upcoming Projects are located in Kerala.
    • Major project locations include Kochi, Thiruvananthapuram, Kozhikode and Thrissur.
    • Changes in local demand, regulations, economic conditions or climatic events may adversely affect performance.
  • Project Execution

    • The Company had 12 Ongoing Projects and 3 Upcoming Projects as of June 30, 2026.
    • Delays, cost overruns, approval issues or inability to complete and sell projects could affect future revenues and cash flows.
  • Third-Party Contractors

    • Construction activities rely on independent contractors, subcontractors, vendors and external consultants.
    • Delays, failure or sub-standard performance by these parties could affect project timelines, costs and quality.
  • Objects / Land Acquisition

    • The Issue includes funding for development expenditure and unidentified land acquisition/general corporate purposes.
    • Suitable land may not be identified or acquired on expected terms or within expected timelines.
  • Regulatory Approvals

    • Projects require multiple approvals, including building, fire and safety, environmental/pollution, municipal, RERA and occupation approvals.
    • Delays or changes in regulatory requirements may affect project development.
  • Construction Cost / Supply Chain

    • Construction materials, labour and direct expenses constitute a significant portion of project costs.
    • The Company generally does not enter into long-term fixed-price arrangements for construction materials, exposing it to cost fluctuations.

    • Future related-party transactions may give rise to potential conflicts of interest.
  • Financial Performance

    • Revenue, profitability and return ratios have fluctuated across periods.
    • This is partly due to the project-based and milestone-linked nature of the business.
  • Operating Cash Flow

    • The Company reported negative operating cash flows in FY2026 and FY2025 despite recording profits before tax.
    • Continued negative operating cash flow could constrain liquidity.
  • Capital Intensity / Financing

    • Real estate development requires substantial upfront investment in land/development rights, construction, approvals and project management.
    • Availability and cost of financing may affect project execution.
  • Customer Demand / Housing Finance

    • Demand is influenced by housing-finance availability, affordability, interest rates, taxation, stamp duty and broader macroeconomic conditions.
  • Industry / Competition

    • The RHP discusses competitive pressures, market conditions, land and litigation complexities and environmental requirements.
    • These factors may create pricing or margin pressure.
