5. About the Company

Shah Investor's Home Limited was incorporated as Shah Investors Home Private Limited on October 12, 1994. It was converted into a public company in 1995 and its name was subsequently changed to Shah Investor's Home Limited in 2000. The Company describes itself as a retail broking company with more than three decades of operating experience.

Its principal activities include equity and derivatives brokerage, depository services, margin trading facility and distribution of financial products. The Company states that it provides services to retail customers, high-net-worth individuals, corporate clients and non-resident Indians. Its broking membership includes NSE, BSE and MCX, while its depository services are provided through NSDL.

The Company operates through branches and authorised persons, with a particularly high concentration of active clients in Gujarat. As of March 31, 2026, it reported 38,189 active clients, of which 36,720, or 96.15%, were in Gujarat. Maharashtra accounted for 907 active clients and other locations for 562.

The Company has also developed digital platforms. Its SIHL Moneymaker app had 33,287 downloads and 12,452 trading clients as of March 31, 2026. Digital-platform brokerage income was ₹1,973.54 lakhs in Fiscal 2026, representing 42.62% of total brokerage income, compared with 22.37% in Fiscal 2025 and 17.61% in Fiscal 2024.

Business / revenue concentration: The broking segment contributed 64.78% of revenue from operations in FY2026, compared with 68.85% in FY2025 and 71.57% in FY2024.

Regulatory compliance: The Company states that it is subject to extensive regulatory supervision and discloses past regulatory observations and penalties.

Client / authorised-person dependence: The Company relies on its authorised-person network and client retention for brokerage activity.

Working capital / liquidity: The RHP identifies high working-capital requirements and the possibility that adequate funding may not be arranged.

MTF exposure: The Company identifies risks associated with margin trading facility and managing the MTF business.

SEBI Investment Adviser registrationSEBI observations were followed by a show-cause notice dated June 30, 2025; the Company stated it did not wish to renew the registration, and SEBI cancelled the registration on September 10, 2025.
SEBI client-fund upstreaming/downstreamingSEBI's inspection identified fund-flow compliance observations. An adjudication order dated February 11, 2026 found violations and imposed a ₹4,00,000 penalty, which the RHP states has been paid.
